These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Saimek AI, Inc. ("Saimek AI," "we," "us," or "our") governing your access to and use of the Saimek AI platform, including all associated software, tools, workflows, APIs, and services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization or legal entity, you represent and warrant that you have authority to bind that entity, and references to "you" in these Terms shall refer to that entity.
If you do not agree to these Terms, you must not access or use the Service.
You must be at least 18 years of age and capable of entering into a binding legal agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.
You must register for an account to access most features of the Service. When registering, you agree to:
We reserve the right to refuse registration or terminate accounts at our discretion, including accounts that violate these Terms.
You are solely responsible for safeguarding your account credentials. Saimek AI will not be liable for any loss or damage arising from unauthorized access to your account resulting from your failure to maintain adequate security.
The Community tier provides access to a defined subset of features at no charge. Community tier access is provided "as-is" without uptime guarantees or formal support commitments. We reserve the right to modify, limit, or discontinue Community tier features at any time with reasonable notice.
The Pro tier is available by subscription. By subscribing, you authorize Saimek AI (or our authorized payment processor) to charge your designated payment method on a recurring basis at the then-current subscription rate.
Billing terms:
Stated prices exclude applicable taxes. You are responsible for all sales, use, GST, VAT, and similar taxes arising from your use of the Service, except for taxes based on Saimek AI's net income.
Refunds are issued at our sole discretion. If you believe you are entitled to a refund, contact us at [email protected] within 30 days of the disputed charge. Annual subscribers who cancel within 14 days of initial purchase may request a prorated refund for unused months.
If your payment method fails, we will attempt to notify you by email. Accounts with unpaid balances may be suspended or downgraded to the Community tier after a cure period of not less than 7 days.
Saimek AI makes a self-hosted version of the Service available to eligible subscribers. Self-hosted deployments are subject to these Terms and any additional terms provided with the self-hosted distribution. When operating a self-hosted instance:
You may use the Service solely for lawful purposes consistent with these Terms and all applicable laws and regulations.
You agree not to use the Service to:
Certain Service features provide read-only access to email accounts you connect. By enabling email integration, you represent that you have authority over the connected email account and consent to Saimek AI processing its contents solely to provide the Service. We do not read, sell, or use your email content for advertising or any purpose beyond delivering the features you have enabled.
Certain features involve processing of financial data and transaction records. This data is processed solely to provide the financial tracking features you have enabled. You remain solely responsible for the accuracy of your financial records and for compliance with all applicable financial reporting obligations. Nothing in the Service constitutes financial, accounting, tax, or investment advice.
When you connect third-party services (including GitHub) to the Service, you authorize Saimek AI to access and act upon those services on your behalf within the permission scope you grant. You are responsible for ensuring your use of any third-party service through Saimek AI complies with that service's own terms of use.
The Service incorporates large language models (LLMs) and other AI systems to generate workflow outputs, code, text, analysis, suggestions, and other content ("AI Outputs"). You acknowledge that:
You are solely responsible for reviewing, validating, and determining the appropriateness of all AI Outputs before acting on them or deploying them in any environment. You must not rely on AI Outputs for critical decisions without independent verification by qualified professionals where appropriate.
Saimek AI makes no warranty, express or implied, regarding the accuracy, completeness, fitness for purpose, or reliability of any AI Output. Section 11 (Disclaimer of Warranties) applies fully to AI Outputs.
The Service, including all software, algorithms, designs, trademarks, logos, documentation, and underlying technology, is owned by Saimek AI and protected by copyright, trademark, trade secret, and other applicable intellectual property laws. These Terms do not convey to you any ownership interest in the Service.
You retain all ownership rights in the data, files, workflows, code, and other content you submit to or create through the Service ("User Content"). By submitting User Content, you grant Saimek AI a limited, worldwide, royalty-free license to host, process, reproduce, and transmit your User Content solely to provide the Service to you.
We do not claim ownership of your User Content. We do not sell your User Content. We do not use your User Content to train AI models without your express opt-in consent.
As between you and Saimek AI, you retain ownership of AI Outputs generated in response to your inputs, subject to applicable law and the limitations described in Section 6.
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key commitments:
Saimek AI will use commercially reasonable efforts to maintain Service availability. We do not guarantee any specific uptime percentage for the Community tier. For Pro tier subscribers, we target 99.5% monthly uptime for core Service functionality, excluding scheduled maintenance, force majeure events, and circumstances outside our reasonable control.
We reserve the right to modify, enhance, or discontinue any feature or aspect of the Service at any time. For material feature removals that materially degrade the Service for paid subscribers, we will provide at least 30 days' notice.
The Service is a tool. Saimek AI does not guarantee that use of the Service will produce any particular business outcome, result, or benefit.
You may terminate your account at any time by following the account deletion process in your account settings or by contacting us at [email protected].
We may suspend or terminate your access to the Service, with or without notice, if you breach any provision of these Terms, your account has an unpaid balance beyond the applicable cure period, we are required to do so by law, or we determine that continued provision creates legal, regulatory, or security risk.
Upon termination, your license to use the Service immediately ceases. We will retain and delete your User Content in accordance with our data retention policy and Privacy Policy.
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
Saimek AI does not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any defects or errors will be corrected; (c) the Service or any outputs are free of viruses or other harmful components; or (d) AI Outputs will be accurate, complete, or appropriate for your purposes.
To the maximum extent permitted by applicable law, in no event will Saimek AI, its officers, directors, employees, agents, licensors, or suppliers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business, or cost of substitute services, arising from or related to your use of or inability to use the Service, regardless of the theory of liability and even if Saimek AI has been advised of the possibility of such damages.
Saimek AI's total cumulative liability to you for all claims arising from or related to the Service or these Terms will not exceed the greater of: (a) the total fees you paid to Saimek AI in the 12 months preceding the event giving rise to the claim; or (b) one hundred dollars ($100.00 USD).
You agree to defend, indemnify, and hold harmless Saimek AI, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, your User Content, any AI Output you act upon or deploy, or your use of any third-party service through Saimek AI integrations.
These Terms and all disputes arising from or related to them or the Service will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions.
Before initiating any formal legal proceeding, you agree to contact us at [email protected] and describe your dispute in reasonable detail. We will attempt to resolve the dispute informally within 30 days of receipt.
Except for claims eligible for small claims court, you and Saimek AI agree to resolve any dispute arising from or related to these Terms or the Service through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration will be conducted in San Francisco, California, or remotely if the parties agree.
Class Action Waiver: You and Saimek AI agree that each may bring claims against the other only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.
You may opt out of the arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. If you opt out, disputes will be resolved exclusively in the state or federal courts located in San Francisco County, California.
